1. Who these terms are between

These terms are an agreement between LC Vending Limited (company number 06829745), whose registered address is The Grove Trading Estate, Dorchester, Dorset, DT1 1ST, United Kingdom ("we", "us"), and the business that creates an account ("you" or the "Customer"). We trade as VendsetGO and Vendset.

The Customer is the business named on the account: a limited company, a limited liability partnership, a partnership, or a sole trader trading in their own name. If you sign up on behalf of a company, LLP or partnership, you confirm that you are authorised to bind it, and it is the Customer. If you are a sole trader, you are the Customer personally.

The Service is for businesses. It is not offered to consumers or to people acting outside their trade or profession.

You must be 18 or over to create an account.

2. The service

VendsetGO is software for running vending operations: machines, locations, stock, routes, field visits, tasks, tickets and related reporting, available on the web and through mobile apps (the "Service"). Optional integrations and modules ("Add-ons") may be offered separately.

We may improve, change or retire features. If we make a change that materially reduces functionality you are paying for, we will give you reasonable notice and, where you paid in advance, a pro-rata refund of the affected period.

3. Accounts and your team

  • Give us accurate information, including your business name, business type and country, and keep it up to date.
  • Keep credentials secure. You are responsible for activity under your account, including by people you invite.
  • The owner of the account manages billing and team members. Tell us promptly if you suspect unauthorised access.
  • The Free plan has limits (for example on machines and team members). We can apply the same limits to existing data, but we will not delete your data because you are over a limit; you will only be unable to add more until you upgrade or reduce usage.

4. Plans, Add-ons and payment

The Free plan is free. Paid plans and Add-ons are charged in advance for the period shown at checkout, renew automatically until cancelled, and are quoted exclusive of VAT or sales tax, which we add where required. Prices are shown in the currency of your organisation where available.

You can cancel at any time. Cancellation takes effect at the end of the current paid period, after which the account moves to the Free plan. Except where these terms or the law say otherwise, fees already paid are not refundable. If you buy through the Apple App Store or Google Play, their billing and refund rules apply to that purchase.

If a payment fails we may retry it and, after reasonable notice, move the account to the Free plan. We may change prices for future periods on at least 30 days' notice.

5. Your data

You own the data you put into the Service ("Customer Data"), including information about your machines, sites, staff and customers. You give us the rights we need to host and process it to provide the Service, as set out in these terms and the Data Processing Addendum.

You are responsible for having a lawful basis and giving any notices required to put personal data about your staff, customers and site contacts into the Service. For that data, you are the controller and we are your processor. See our Privacy Policy.

You can export your data at any time from within the Service. After your account is closed we keep Customer Data for up to 30 days so you can retrieve it, then delete it, except where we must keep it by law or it sits in backups that expire on their normal cycle.

6. Acceptable use

You must not, and must not allow anyone else to:

  • use the Service unlawfully, or to store or send unlawful, infringing or harmful content;
  • attempt to access another customer's data, probe or test our security without our written permission, or bypass limits or access controls;
  • interfere with the Service, including by sending unreasonable volumes of requests or malicious code;
  • resell or provide the Service to third parties except as part of running your own vending business;
  • use automated means to scrape or copy the Service or build a competing product from it.

We may suspend access to stop activity that breaches this section or threatens the Service, and will tell you why where we can.

7. Integrations and third-party services

Add-ons may connect the Service to third-party products you already use, such as a cashless payments provider or accounting software. You need your own account and licence with that provider. We are not responsible for the third party's service or changes to it, and when you connect an integration you authorise us to exchange the data needed for it to work.

8. Intellectual property

We and our licensors own the Service, including its software, design and documentation. We grant you a non-exclusive, non-transferable right to use it for your business during the term. You keep all rights in Customer Data. If you send us feedback, we may use it without obligation to you.

9. Availability and support

We aim to keep the Service available and to fix faults promptly, but we do not guarantee uninterrupted or error-free operation and do not offer a service-level commitment on the Free plan. Planned maintenance is announced in advance where practical. Support is provided by email on a reasonable-endeavours basis; paid plans may include priority support as described at purchase.

10. Our promises and their limits

We will provide the Service with reasonable skill and care. Beyond that, and to the extent the law allows, the Service is provided "as is" and we exclude all other warranties and conditions, including that it will meet every requirement you have. Reports and figures are only as accurate as the data entered or received from integrations; you remain responsible for your business decisions and for any legal, tax or safety obligations (for example machine servicing and food safety).

11. Limits on liability

Nothing in these terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation.

Subject to that:

  • we are not liable for loss of profit, revenue, goodwill or anticipated savings, or for indirect or consequential loss; and
  • our total liability to you in any 12-month period for all claims arising from the Service is limited to the greater of the fees you paid us in that period and £100 (or the equivalent in your currency).

These limits apply between businesses and reflect the price of the Service. The Free plan is provided without charge and we accept no liability beyond the minimum the law requires.

12. Claims about your content

You are responsible for Customer Data and for your use of the Service. You will compensate us for losses, costs and reasonable legal fees arising from a third-party claim that Customer Data, or your use of the Service in breach of these terms, infringes rights or breaks the law, provided we tell you promptly, let you control the defence, and cooperate reasonably.

13. Term and ending the agreement

The agreement starts when you create the account and continues until ended. You can close your account at any time. We may end or suspend the agreement on 30 days' notice, or immediately if you materially breach these terms and do not fix it within 14 days of notice (or straight away where it cannot be fixed or creates a security or legal risk), or if you become insolvent.

On ending, your right to use the Service stops and the data provisions above apply. Sections that by their nature should continue (for example liability, payment of fees due, and governing law) do.

14. Changes to these terms

We may update these terms. For material changes we will give at least 30 days' notice by email or in the Service and ask you to accept the new version (version dates are shown at the top). If you do not agree, you can close your account before the change takes effect.

15. General

  • Entire agreement. These terms, the Privacy Policy and the Data Processing Addendum are the whole agreement about the Service.
  • Assignment. You may not transfer the agreement without our consent. We may transfer it to a successor to our business.
  • Notices. We will send notices to the account owner's email address. You can contact us at support@vendset.co.uk.
  • Events beyond control. Neither party is liable for delay caused by events outside its reasonable control.
  • Severance and waiver. If a provision is unenforceable the rest continues; a delay in enforcing a right is not a waiver.
  • Third parties. Only you and we have rights under this agreement.

16. Governing law and disputes

The agreement and any dispute arising from it are governed by the law of England and Wales, and the courts of England and Waleshave exclusive jurisdiction, except that we may seek urgent relief in any court to protect our intellectual property or the security of the Service. Before starting proceedings, please contact us so we can try to resolve the issue.
